These Terms of Service govern access to and use of the Trubackgrounds website, platform, and screening services. By creating an account or ordering a report, the client and the individual accepting these terms on behalf of the client agree to be bound by them.
1. Eligibility and Permissible Purpose
Trubackgrounds furnishes consumer reports only for permissible purposes under the federal Fair Credit Reporting Act, including employment, tenancy, and other purposes expressly permitted by law. The client certifies that each request has a permissible purpose, that any required disclosures and authorizations have been provided to the consumer, and that the report will be used only for the certified purpose.
2. Account Security
The client is responsible for safeguarding account credentials and for all activity conducted under its account. Credentials may not be shared. The client will notify Trubackgrounds immediately of any suspected unauthorized access.
3. Acceptable Use
The client will not use the platform to violate law, infringe rights, transmit malicious code, attempt to gain unauthorized access to other accounts or systems, or reverse engineer the platform. Reports may not be resold or redistributed except as expressly permitted in writing by Trubackgrounds.
4. Fees and Payment
Fees are stated in the applicable order form or rate schedule. Invoices are due net thirty days unless otherwise agreed. Past due amounts accrue interest at one and one half percent per month or the maximum allowed by law, whichever is lower.
5. Confidentiality
Each party will protect the other party's confidential information using the same care it uses to protect its own confidential information of like importance, and in any case no less than reasonable care. Consumer report information may be used only for the permissible purpose and may not be disclosed except as required by law.
6. Service Levels
Trubackgrounds will use commercially reasonable efforts to maintain availability of the platform and timely delivery of reports. Turnaround times depend on third party court systems and verification sources and are estimates rather than guarantees.
7. Disclaimers
Information in consumer reports is sourced from public records and third parties believed to be reliable. Except as expressly stated in a written agreement, the platform and reports are provided on an "as is" and "as available" basis. Trubackgrounds disclaims all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non infringement.
8. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Trubackgrounds's total aggregate liability arising out of or related to the services will not exceed the fees paid by the client to Trubackgrounds in the twelve months preceding the event giving rise to the claim.
9. Indemnification
The client will indemnify, defend, and hold harmless Trubackgrounds and its officers, employees, and agents from any third party claim arising out of the client's use of a report in violation of law or these terms, including the federal Fair Credit Reporting Act and applicable state analogs.
10. Term and Termination
Either party may terminate the engagement for material breach if the breach is not cured within thirty days of written notice. Trubackgrounds may suspend access immediately to address suspected unauthorized use, fraud, or risk to the platform.
11. Governing Law
These terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida.
12. Changes
Trubackgrounds may update these terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance of the updated terms.
